Luka Gogua is an Associate at BLC. His practice focuses on corporate transactions, mergers and acquisitions, renewable energy and infrastructure projects, construction, real estate and general commercial matters.
Luka advises domestic and international clients on corporate structuring, acquisitions and general commercial matters, including the drafting and negotiation of commercial agreements.
His experience includes advising on the development and implementation of renewable energy, infrastructure, construction and real estate projects, as well as conducting legal due diligence and assisting with transaction documentation, project financing, regulatory matters and corporate approvals.
Luka joined BLC in 2023 and has progressed through the firm from Legal Intern to Paralegal, Junior Associate and Associate. Alongside his legal practice, he serves as a Teaching Assistant at the Free University of Tbilisi and participates in academic and professional initiatives.
- Advised domestic and international clients on corporate transactions and M&A matters, including legal due diligence, transaction structuring, corporate approvals, share purchase agreements and ancillary transaction documentation.
- Advised on the development and implementation of renewable energy and infrastructure projects in Georgia, including wind, solar and hydropower projects, covering corporate structuring, shareholder arrangements, financing, regulatory matters and project documentation.
- Advised clients on major construction and real estate development projects in Georgia and abroad, including project structuring, commercial agreements, construction documentation, and contract administration under FIDIC-based contracts throughout project implementation.
- Advised on corporate reorganizations, changes in shareholding and management, liquidations, corporate governance matters and related regulatory filings.
- Assisted with financing arrangements connected to energy, infrastructure, construction and real estate projects, including the review of financing and security documentation, corporate approvals and conditions precedent.
