Giorgi (Giga) Batlidze is a Partner at BLC Law Office. He has been advising domestic and international clients on complex cross-border transactions, project financings and high-value commercial disputes since 2008. His practice focuses on corporate and M&A, project development, restructuring and insolvency, as well as international arbitration. Giorgi regularly represents multinational corporations, financial institutions, strategic investors and developers in some of the largest investments and most sophisticated legal matters in Georgia.
His transactional practice covers acquisitions, corporate restructurings, joint ventures and strategic investments across the energy, mining, infrastructure, telecommunications, financial services and logistics sectors.
Alongside his transactional work, Giorgi has developed a distinguished practice in international arbitration and complex commercial litigation, acting in the role of a counsel, legal expert and case manager in proceedings under ICC and LCIA foreign courts, advising clients on shareholder disputes, post-M&A claims, construction and energy disputes, insolvency matters and cross-border enforcement.
Giorgi is also widely recognized for his contribution to the development of Georgian commercial legislation. He has participated in drafting major legislative reforms, including the Law of Georgia on Entrepreneurs, the Insolvency Law of Georgia and numerous regulations of the National Bank of Georgia relating to financial markets. He also serves as Associate Professor of Civil Law at the Free University of Tbilisi.
- Advised the shareholders of a Georgian commercial bank on the sale of a controlling stake to another leading Georgian banking institution, acting as Georgian legal counsel throughout the transaction.
- Successfully advised and completed the rehabilitation of a major Georgian airline in the largest insolvency rehabilitation proceeding in the history of Georgia, resulting in the preservation of the business and approval of the rehabilitation plan by more than 90% of creditors.
- Advised a foreign strategic investor on the acquisition of a leading fuel retail and petroleum logistics group in Georgia, including comprehensive legal due diligence, transaction structuring and regulatory advice.
- Advised on a multi-step corporate restructuring and merger of companies operating one of Georgia's largest mining businesses, including legal due diligence, transaction structuring and regulatory matters.
- Represented a leading telecommunications operator in the acquisition of a group of telecommunications and internet infrastructure companies, including extensive legal due diligence, transaction structuring and obtaining all necessary regulatory approvals.
- Acted as Georgian counsel in a multi-jurisdictional acquisition of energy assets spanning multiple jurisdictions, advising on legal due diligence of Georgian subsidiaries and local regulatory matters.
- Regularly acts as Georgian law expert, counsel and case manager in high-value international arbitration proceedings under LCIA, ICC and other international arbitration rules involving shareholder, post-M&A, construction, infrastructure disputes.
- Advises multinational corporations, strategic investors and private equity sponsors on acquisitions, corporate restructurings, market entry, corporate governance and strategic investments in Georgia and Central Asia.
