Associate | Corporate & Commercial Practice

Tamta Shamugia joined BLC in 2022 and currently serves as Associate. Her practice focuses on corporate and business law, with particular expertise in complex transactional matters, including cross-border M&As, infrastructure financing projects and sophisticated corporate structuring.

Tamta’s practice involves advising clients on international transactions, prepares legal opinions in cross-border financing and regulatory matters, and conducts comprehensive legal due diligence across various industries, including regulated sectors and financial markets. Her experience includes drafting and negotiating complex transactional and commercial documentation, such as shareholders’ agreements, investment agreements, joint venture arrangements, and other strategic corporate instruments. She has been actively involved in IFI-supported projects and infrastructure financing structures.

Her broader practice also spans contract law, intellectual property, labor law, and dispute resolution. Prior to joining BLC, she gained experience in private practice, as well as at Tbilisi City Court and the Georgian Young Lawyers Association (GYLA).

Representative Experience
  • Advised domestic and international sponsors, lenders, and investors on complex financing, project finance, and M&A transactions across infrastructure, industrial, manufacturing, and financial sectors, including high-value and strategically significant transactions;
  • Represented Pace Group in connection with the financing and development of the Poti Port project before the U.S. International Development Finance Corporation (DFC);
  • Advised on transactions involving international financial institutions, including DFC, EBRD, ADB, and FMO, including Georgian law opinions and financing documentation;
  • Contributed to the reform of Georgia’s energy efficiency framework through the GOPA Tech project for the Ministry of Economy and Sustainable Development of Georgia, funded by KfW Development Bank;
  • Contributed to landmark capital markets transactions for leading Georgian banks, including issuances of AT1 and Tier 2 capital instruments, advising on structuring, documentation, and regulatory aspects;
  • Advised National Bank of Georgia-regulated investment funds on investment and divestment transactions, related documentation, corporate structuring, and disputes;
  • Advised investors and corporate clients across infrastructure, energy, natural resources, telecommunications, financial services, and other regulated sectors on due diligence, transaction structuring, governance, regulatory compliance, and commercial matters.
