Ruska Khazaradze is Head of Real Estate & Construction practice at BLC. With more than 15 years of professional experience, she advises local and international developers, investors, financial institutions and private clients on complex real estate, construction, corporate and investment matters in Georgia.
Ruska has extensive experience advising on high-value real estate acquisitions and disposals, mixed-use and hospitality developments, construction and infrastructure projects, project financing, secured lending, corporate restructurings, mergers and acquisitions, and cross-border investment transactions. She regularly assists clients throughout the entire project lifecycle, from legal due diligence and transaction structuring to negotiating project documentation, obtaining regulatory approvals and successfully closing transactions.
Her practice also encompasses joint ventures, shareholder arrangements, commercial contracts, employment, immigration, regulatory compliance and data protection matters. Ruska frequently represents international investors entering the Georgian market and provides strategic legal advice on establishing and operating businesses in Georgia.
Ruska has acted on some of the most significant real estate and hospitality projects of Georgia, advising developers, international hotel operators, institutional investors and multinational companies on complex development projects, acquisitions, hotel management arrangements and investment structures.
- Advised international and local developers on the acquisition, financing, development and sale of large-scale residential, commercial, hospitality and mixed-use projects, including drafting and negotiating complex transaction and development documentation.
- Led legal due diligence exercises for acquisitions involving hotels, development companies, commercial real estate and land portfolios, identifying legal risks and structuring transactions for international investors.
- Advised developers, investors and hotel owners on branded residences, hotel management arrangements and hospitality projects involving internationally recognised hotel operators.
- Represented lenders and borrowers in secured financing, refinancing and restructuring transactions involving real estate assets, including mortgage, security and collateral arrangements.
- Structured and negotiated shareholders agreements, joint venture arrangements and investment frameworks for complex development projects involving Georgian and foreign investors.
- Advised multinational companies and foreign investors on corporate establishment, investment structuring, regulatory compliance, employment, immigration and ongoing corporate governance matters in Georgia.
- Drafted and negotiated construction, EPC, FIDIC-based and other project agreements, while advising clients throughout the implementation of large-scale development and infrastructure projects.
- Advised on domestic and cross-border M&A transactions, corporate reorganisations and strategic investments involving Georgian companies and real estate assets.
