Senior Associate | M&A, Corporate & Finance
Ketevan Meskhishvili is a Senior Associate in BLC’s Corporate and Finance practice. She advises international and domestic clients on cross-border corporate transactions, finance matters, regulatory issues and complex commercial arrangements, with particular experience in financial services, foreign investment, M&A, security structures, virtual asset services, energy and infrastructure-related projects.
Ketevan regularly advises financial institutions, multilateral development banks and other international development finance institutions, international investors, corporate clients, fintech businesses and strategic sponsors on complex international transactions. Her work includes legal due diligence, share acquisitions, financing and security documentation, regulatory approvals, corporate governance, commercial contracts, transaction structuring, implementation and regulatory compliance.
Ketevan’s prior experience includes working at two of Georgia’s largest state-owned investment funds, where she advised on major infrastructure and energy projects, including the negotiation and implementation of investment agreements, shareholders’ agreements and related project documentation with foreign investors. Her background also includes international arbitration experience. Before joining BLC, Ketevan worked in the Paris office of an international law firm, where she supported international commercial and investment arbitration matters.
Ketevan holds an LL.M. in International Banking and Finance Law from University College London, where she graduated with Merit, and is admitted as a Solicitor of England and Wales and to the Georgian Bar. In addition to her legal practice, she is an invited lecturer at the Free University of Tbilisi, where she teaches international commercial arbitration, and serves as a coach for the Brown Mosten International Client Consultation Competition.
- Advised international investors and transaction counsel on Georgian law aspects of share acquisition transactions, including legal due diligence, corporate approvals, regulatory considerations, transaction structuring and review of share purchase agreements and ancillary transaction documentation.
- Advised clients on financing and security arrangements involving international financial institutions and local security packages, including review and drafting of Georgian law security documents, amendment mechanics, perfection issues and practical enforcement considerations.
- Assisted fintech and virtual asset service providers with Georgian regulatory matters, including VASP product characterization, customer onboarding, sanctions and AML compliance considerations, and responses to counterparties and service providers on regulatory risk.
- Advised on corporate and commercial arrangements in various including regulated sectors, including banking, investment, payment services, energy and infrastructure.
- Conducted and coordinated comprehensive legal due diligence exercises for cross-border investors, including review of licences, corporate standing, contractual arrangements, regulatory compliance, encumbrances and other key legal aspects of Georgian target companies.
- Advised on complex shareholder, option, accession and corporate governance arrangements, including drafting and reviewing provisions on transfer restrictions, approval rights, completion mechanics, minority protections and implementation of multi-party transaction structures.
