Giorgi advises a broad range of clients across a wide spectrum of commercial, corporate, and dispute resolution matters. His clients include major corporations, real estate developers, construction firms, hospitality groups, and hydropower plant operators.
Giorgi’s practice covers mergers and acquisitions (M&A), corporate restructurings, regulatory compliance, intellectual property (IP) and software licensing, litigation, as well as general counsel under Georgian law, including tax advisory services.
He has significant experience in negotiating and drafting complex contracts involving complicated business, financial and tax considerations, enabling him to provide valuable cross-disciplinary advice to ensure that transactions are structured for optimal legal, tax, and financial efficiency.
- Advised domestic and international investors on Georgian law aspects of M&A transactions, among others, in the industrial and insurance sectors, including legal due diligence exercises, transaction structuring, regulatory compliance, drafting and negotiation of share purchase agreements and ancillary transaction documentation, and other key legal aspects of Georgian target companies.
- Advised clients on complex joint venture and corporate arrangements, including drafting and reviewing key corporate governance instruments, such as shareholders' agreements (SHAs) and company charters, for implementation of multi-party transaction structures.
- Advised construction and development companies in all stages of real estate project development and operation, including corporate formation, drafting corporate governance instruments, drafting and negotiation of engineering, procurement, and construction (EPC) contracts, operation and maintenance (O&M) agreements, and preliminary and definitive sale and purchase agreements (SPAs). Additionally, advised on land acquisition, zoning, and communication with relevant regulatory authorities for securing necessary construction and environmental permits.
- Represented global hotel brands and local developers in hotel management and franchise transactions, drafted and negotiated international franchise agreements, trademark and brand licensing agreements, design and technical services agreements, preliminary purchase and purchase agreements, bylaws for the homeowners’ associations, lease agreements and other ancillary documents for full implementation of the relevant project.
- Advised a multinational industrial group on the corporate, regulatory, contractual and tax frameworks for organizing and operating a Free Industrial Zone (FIZ) in Georgia, handled communication and legal relations with the governmental authorities, contractors, subcontractors and among the shareholders.
- Advised on legislative drafting and public policy initiatives, focusing on the harmonization of Georgian investment protection laws with international standards and bilateral investment treaty (BIT) frameworks.
- Represented corporate clients in high-value civil and commercial disputes before courts of Georgia. Formulated pre-litigation strategies, secured interim relief, and advocated for clients in contractual, shareholder, and real estate disputes.
